Modificación del Capítulo XXII “Prevención del Lavado de Dinero y la Financiación del Terrorismo” de las Normas (N.T. 2001 y mod.).

VISTO:

El Expediente Nº 1995/2010 del registro de esta COMISION NACIONAL DE VALORES, caratulado “REFORMA DEL CAP. XXII DE LAS NORMAS (N.T. 2001) PREVENCION DEL LAVADO DE DINERO Y LA FINANCIACION DEL TERRORISMO”; lo dictaminado por la Subgerencia de Prevención del Lavado de Dinero, por la Gerencia de Investigaciones y Prevención del Lavado de Dinero; y la conformidad prestada por la Gerencia General; y

CONSIDERANDO:

Que la Ley Nº 25.246 creó la UNIDAD DE INFORMACION FINANCIERA (en adelante UIF o UNIDAD), entidad actuante en el ámbito del MINISTERIO DE JUSTICIA Y DERECHOS HUMANOS, con competencia específica para prevenir e impedir los delitos de lavado de activos (artículo 303 del Código Penal) provenientes de delitos graves y de la financiación del terrorismo (artículo 41 quinquies del mismo Código).

Que esta COMISION NACIONAL DE VALORES (en adelante CNV o COMISION), en su carácter de Sujeto Obligado en los términos del artículo 20, inciso 15 de la ley antes mencionada, se encuentra obligada a observar las medidas y procedimientos que disponga esa UNIDAD, para prevenir, detectar y reportar los hechos, actos, operaciones u omisiones que puedan provenir de la comisión de los delitos de lavado de activos y la financiación del terrorismo.

Que el Decreto Nº 1936 del 9 de diciembre de 2010, asignó a esa UNIDAD la Coordinación-Representación Nacional ante el GRUPO DE ACCION FINANCIERA INTERNACIONAL (FATF/GAFI), el GRUPO DE ACCION FINANCIERA DE AMERICA DEL SUD (GAFISUD) y la COMISION INTERAMERICANA CONTRA EL ABUSO DE DROGAS DE LA ORGANIZACION DE LOS ESTADOS AMERICANOS (LAVEX-CICAD-OEA); quién actuará como autoridad de aplicación de la Ley Nº 25.246 y sus modificatorias y, en todo lo atinente a su objeto, será el ente coordinador en el orden nacional, provincial y municipal; con facultades de dirección respecto de los organismos públicos mencionados en el artículo 12 de dicha ley y de los restantes que correspondan al ámbito nacional (conforme artículo 3º).

Que a los efectos de implementar el sistema de contralor interno para la totalidad de los Sujetos Obligados, el inciso 7 del artículo 14 de la Ley Nº 25.246, texto modificado por la Ley Nº 26.683, dispone que la UIF establecerá los procedimientos de supervisión, fiscalización e inspección “in situ” para el control del cumplimiento de las obligaciones establecidas en el artículo 21 y de las directivas e instrucciones dictadas conforme las facultades del artículo 14, inciso 10 de la misma.

Que específicamente, en lo que respecta a esta COMISION, dicho inciso 10 del artículo 14 establece que podrá dictar normas de procedimiento complementarias a las directivas e instrucciones emitidas por la UNIDAD, no pudiendo ampliar ni modificar los alcances definidos por dichas instrucciones.

Que el actual Capítulo XXII de las NORMAS (N.T. 2001 y mod.) contiene normativa específica sobre “PREVENCION DEL LAVADO DE DINERO Y LA FINANCIACION DEL TERRORISMO”, aplicable a los sujetos sometidos al contralor del Organismo.

Que en atención a las nuevas disposiciones vigentes, que atribuyen a la UIF la facultad primaria en el dictado de las normas aplicables a esta materia, y habiendo ésta establecido las reglamentaciones pertinentes, corresponde modificar en forma íntegra el Capítulo XXII de las NORMAS (N.T. 2001 y mod.), a fin de derogar las disposiciones que se superpongan o contraríen aquéllas emanadas de esa UNIDAD.

Que sin perjuicio de ello, y en el marco de la potestad de dictar normas complementarias, así como de las obligaciones que emanan de las directivas de esa UNIDAD dirigidas a este Organismo de contralor, en lo que respecta a los procedimientos que deberán cumplir las entidades que se encuentran sujetas a su autorización y fiscalización, se considera necesario el mantenimiento de algunas de las disposiciones actualmente vigentes contenidas en el mencionado Capítulo.

Que entre aquéllas se encuentran los artículos incorporados a dicho Capítulo a través de las Resoluciones Generales Nº 580 del 30 de septiembre de 2010 y Nº 583 del 11 de noviembre de 2010, reglamentarias de los “PROCEDIMIENTOS DE CONTROL PARA RECEPCION Y ENTREGA DE FONDOS DE Y A CLIENTES”.

Que, asimismo, esta CNV aprobó la Resolución Nº 554 del 8 de mayo de 2009, que limita la realización de operaciones dentro del ámbito de la oferta pública, cuando éstas sean efectuadas u ordenadas por sujetos constituidos, domiciliados o que residan en dominios, jurisdicciones, territorios o Estados asociados, incluidos dentro del listado del Decreto Nº 1037/00 (Reglamentario de la Ley de Impuesto a las Ganancias Nº 20.628 y modificatorias), y exige la implementación de recaudos adicionales en forma previa a dar curso a operaciones cuando se trate de sujetos constituidos, domiciliados o que residan en dominios, jurisdicciones, territorios o Estados asociados que no se encuentren incluidos dentro del listado de ese Decreto y que revistan en su jurisdicción de origen, la calidad de intermediarios registrados en una entidad autorregulada bajo control y fiscalización de un organismo que cumpla similares funciones a las de esta COMISION.

Que dicha norma se dictó en el marco de las facultades delegadas por el artículo 7º inciso a) de la Ley Nº 17.811 y de lo dispuesto por el artículo 44 del Anexo al Decreto Nº 677/2001 “REGIMEN DE TRANSPARENCIA DE LA OFERTA PUBLICA”, conforme al cual esta COMISION es la autoridad de aplicación del régimen de transparencia de la oferta pública y debe regular la forma en que se efectivizará la información y fiscalización exigidas, pudiendo a ese fin solicitar a las entidades bajo su jurisdicción, la implementación de aquellos mecanismos que estime convenientes.

Que la presente Resolución se dicta en ejercicio de las facultades previstas por los artículos 6º y 7º de la Ley Nº 17.811, 14 inciso 10 de la Ley Nº 25.246 y sus modificatorias, y 44 del Anexo al Decreto Nº 677/2011.

Por ello,

LA COMISION NACIONAL
DE VALORES

RESUELVE:

Artículo 1º — Sustituir el Capítulo XXII de las NORMAS “PREVENCION DEL LAVADO DE DINERO Y LA FINANCIACION DEL TERRORISMO” (N.T. 2001 y mod.), el que se denominará “NORMAS COMPLEMENTARIAS EN MATERIA DE PREVENCION DEL LAVADO DE ACTIVOS Y FINANCIACION DEL TERRORISMO”, por el siguiente:

“XXII.I.- NORMATIVA APLICABLE Y SUJETOS ALCANZADOS

ARTICULO 1º.- Los Sujetos Obligados en los términos de los incisos 4. [Los agentes y sociedades de bolsa, sociedades gerente de fondos comunes de inversión, agentes de mercado abierto electrónico, y todos aquellos intermediarios en la compra, alquiler o préstamo de títulos valores que operen bajo la órbita de bolsas de comercio con o sin mercados adheridos], 5. [Los agentes intermediarios inscriptos en los mercados de futuros y opciones cualquiera sea su objeto] y 22. [Las personas físicas o jurídicas que actúen como fiduciarios, en cualquier tipo de fideicomiso y las personas físicas o jurídicas titulares de o vinculadas, directa o indirectamente, con cuentas de fideicomisos, fiduciantes y fiduciarios en virtud de contratos de fideicomiso.], del artículo 20 de la Ley Nº 25.246 y sus modificatorias, deberán observar lo establecido en esa ley, en las normas reglamentarias emitidas por la UNIDAD DE INFORMACION FINANCIERA (UIF) y en la presente reglamentación. Ello incluye los decretos del PODER EJECUTIVO NACIONAL con referencia a las decisiones adoptadas por el Consejo de Seguridad de las Naciones Unidas, en la lucha contra el terrorismo y dar cumplimiento a las Resoluciones (con sus respectivos Anexos) dictadas por el MINISTERIO DE RELACIONES EXTERIORES, COMERCIO INTERNACIONAL Y CULTO.
Tales disposiciones también deberán ser observadas por:
– Sociedades Depositarias de Fondos Comunes de Inversión;
– agentes colocadores o cualquier otra clase de intermediario persona física o jurídica que pudiere existir en el futuro, de Fondos Comunes de Inversión;
– personas físicas o jurídicas que intervengan como agentes colocadores de toda emisión primaria de valores negociables; y
– las sociedades emisoras respecto de aquellos aportes de capital, aportes irrevocables a cuenta de futuras emisiones de acciones o préstamos significativos que reciba, sea que quien los efectúe tenga la calidad de accionista o no al momento de realizarlos, especialmente en lo referido a la identificación de dichas personas y al origen y licitud de los fondos aportados o prestados.

XXII.II.- MODALIDADES DE PAGO Y PROCEDIMIENTOS DE CONTROL PARA LA RECEPCION Y ENTREGA DE FONDOS DE Y HACIA CLIENTES

ARTICULO 2º.- La totalidad de los sujetos indicados en el artículo 1º, sólo podrán recibir por cliente y por día fondos en efectivo por un importe que no exceda los PESOS UN MIL ($ 1000) (artículo 1º de la Ley Nº 25.345). Cuando por cliente y por día los fondos recibidos por los sujetos excedan el importe indicado precedentemente, la entrega por el cliente deberá ajustarse a alguna de las formas previstas en los puntos 1 a 6 del artículo 1º de la Ley Nº 25.345. En el caso de utilizarse cheques, éstos deberán estar librados contra cuentas corrientes abiertas en entidades financieras del país de titularidad o cotitularidad del cliente. En el caso de utilizarse transferencias bancarias a los sujetos, éstas deberán efectuarse desde cuentas bancarias a la vista de titularidad o cotitularidad del cliente, abiertas en entidades del país autorizadas por el BANCO CENTRAL DE LA REPUBLICA ARGENTINA.
Por su parte, los sujetos —por día y por cliente— no podrán efectuar más de DOS (2) pagos de fondos ni emitir más de DOS (2) cheques. En ningún caso los sujetos podrán efectuar pagos en efectivo por día y por cliente por un importe superior a PESOS UN MIL ($ 1000) (artículo 1º de la Ley Nº 25.345). Los pagos por importes superiores a dicha suma deberán efectuarse mediante alguna de las formas previstas en los puntos 1 a 6 del artículo 1º de la Ley Nº 25.345. En el caso de utilizarse cheques, éstos deberán estar librados a favor del cliente con cláusula no a la orden, y en el caso de utilizarse transferencias bancarias, éstas deberán tener como destino cuentas bancarias de titularidad o cotitularidad del cliente abiertas en entidades del país autorizadas por el BANCO CENTRAL DE LA REPUBLICA ARGENTINA.

ARTICULO 3º.- En particular, siempre que exista manifestación fehaciente del cliente en este sentido y contando con previa aprobación de la Comisión de los procedimientos específicos de control implementado a estos efectos, los sujetos podrán recibir del cliente cheques librados a su favor con endoso completo, y realizar pagos mediante la utilización de cheques librados a la orden del cliente cruzados para ser depositados en cuenta.

XXII.III.- OPERACIONES REALIZADAS POR CLIENTES PROVENIENTES DE O QUE OPEREN DESDE PARAISOS FISCALES, O A TRAVES DE SOCIEDADES OFF SHORE O SOCIEDADES CASCARA.

ARTICULO 4º — La totalidad de los sujetos indicados en el artículo 1º del presente sólo podrán dar curso a operaciones en el ámbito de la oferta pública de valores negociables, contratos a término, futuros u opciones de cualquier naturaleza y otros instrumentos y productos financieros, cuando sean efectuadas u ordenadas por sujetos constituidos, domiciliados o que residan en dominios, jurisdicciones, territorios o Estados asociados, que no figuren incluidos dentro del listado del Decreto Nº 1037/00 (Reglamentario de la Ley de Impuesto a las Ganancias Nº 20.628 y modificatorias).
Cuando dichos sujetos no se encuentren incluidos dentro del listado mencionado en el párrafo anterior y revistan en su jurisdicción de origen la calidad de intermediarios registrados en una entidad autorregulada bajo control y fiscalización de un organismo que cumpla similares funciones a las de la COMISION NACIONAL DE VALORES, sólo se deberá dar curso a ese tipo de operaciones siempre que acrediten que el Organismo de su jurisdicción de origen, ha firmado memorando de entendimiento de cooperación e intercambio de información con la COMISION NACIONAL DE VALORES”.

Art. 2º — Derogar el Anexo I del Capítulo XXII de las NORMAS (N.T. 2001 y mod.).

Art. 3º — Incorporar como artículo 132 del Capítulo XXXI “DISPOSICIONES TRANSITORIAS DE LAS NORMAS” de las NORMAS (N.T. 2001 y mod.), el siguiente texto:
“ARTICULO 132.- Antes del 28 de febrero de 2012, las entidades autorreguladas deberán dictar en el ámbito de su competencia, las reglamentaciones y elaborar los procedimientos de control pertinentes, a los efectos del adecuado cumplimiento por parte de sus intermediarios de las obligaciones dispuestas en el artículo 4º del Capítulo XXII de estas Normas, presentando los mismos ante esta COMISION para su previa aprobación”.

Art. 4º — Comuníquese, publíquese, dése a la Dirección Nacional del Registro Oficial y archívese. — Alejandro Vanoli. — Héctor O. Helman. — Hernán Fardi.
